Terms & Conditions for the Proposal Quotation (Business)
1. Essential Validity Terms
A Final Quotation will be send mentioning the binding legal entities & final pricing terms. This sets the expectations for the actual transaction for Business Customers.
· Price Validity: Prices quoted are valid up to 30 days after sendout example up to [31/07/2026] and solely for the Customer XXX.
· Market Fluctuations: Prices are subject to change without prior notice due to fluctuations in raw material costs or exchange rates if no MOQ is defined (Option 2 or Option 3).
· Currency: All prices are listed in [EURO] excluding taxes unless otherwise stated.
2. Tax and Shipping Disclosures
A quote is for standard offerings in Belgium and Shipping in Belgium. Specific Setups for other EU Countries are subject to a setup cost and specific taxes, logisitics or duties. This sets the expectations for the actual transaction.
· Taxes: Prices are exclusive of VAT, GST, or other applicable sales taxes, which will be added at the time of Final Quotation and invoicing.
· Logistics: All prices are EXW (Ex Works) and do not include shipping, handling, or insurance fees unless specified. These can be reviewed frequently and are currently excluded of the quotation.
· Personalisation of Bags & Boxing is possible.
· ** For the Startdeal the delivery can be done at a Customer Location of choice or the logistics can be foreseen by eCable in a paid formula of choice.
· Duties: The buyer is responsible for any applicable import duties, customs fees, or local levies. For deliveries in Belgium the pricing is valid up to 31/12/2026 without duties, customs or local levies.
3. Order and Payment Conditions
A quote is for standard offerings trough the website of eCable.be. Specific Setups of order platforms are subject to a setup cost. This sets the expectations for the actual transaction.
* Payment Terms: Payment terms are [30 days] from the date of invoice, subject to credit approval. Direct orders via the website will be processed immediately (Option 1).
* Minimums – MOQ*: A minimum order quantity (MOQ) of [500 per Calendar year] applies to the prices that mention a MOQ listed above. If the volume is not attained in Option 2, Option 1 pricing table will apply and a corrective revision will be made to Customer XXX in the form of an annually corrective bill.
* ** For A Startdeal a complete payment is required at the Delivery of the Stock at eCable.be, notification will be done by eCable.be that Products are available for delivery. Cashflow management can be foreseen for effective resales on a monthly basis. Individual or Bulk Deliveries can subsequently be foreseen.
* Starting Date: for large product volumes, eCable.be will confirm the starting date of availability and stock within 15 working days to the customer to kickstart end-customer sales.
* Errors: We reserve the right to correct any stenographic or clerical errors in this pricing sheet.
4. Legal Protections
· Proprietary Info: A pricing sheet is confidential and intended solely for the recipient. Unauthorized distribution is prohibited.
· Subject to Contract: This document is an invitation to treat and does not constitute a binding offer until a formal purchase order is accepted in writing.
· Confidential: A Offer is confidential and intended solely for the use of the recipient.
It may not be reproduced, distributed, or disclosed without prior written consent.
